Welcome to Lamp, a dating application designed to help people form meaningful connections. These Terms of Service govern your access to and use of the Lamp mobile application, website at lampdating.com, and all related services provided by Codewise Ltd. Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using the Lamp mobile application ("App"), website, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Codewise Ltd, a company registered in England and Wales ("Lamp", "we", "us", or "our"), governing your use of the Service.

By creating an account, you represent and warrant that you have the legal capacity to enter into these Terms and that you will comply with all applicable local, national, and international laws and regulations.

2. Eligibility

To use the Service, you must meet all of the following eligibility requirements:

• You must be at least 18 years of age. By creating an account, you represent and warrant that you are at least 18 years old. Lamp does not knowingly collect information from or market to individuals under 18. If we learn that a user is under 18, we will terminate their account immediately.

• You must not be a person who is barred from using the Service under the laws of your country of residence or any other applicable jurisdiction. This includes, without limitation, individuals who are registered or required to register as sex offenders under applicable law in any jurisdiction.

• You must not have been previously banned or removed from the Service by Lamp, unless Lamp has provided express written consent for you to create a new account.

• You may only maintain one account per person. Creating multiple accounts is a violation of these Terms and may result in the termination of all your accounts.

• You must not be currently married or in a civil partnership, unless you are legally separated. Lamp is designed for individuals seeking genuine romantic connections.

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to the following:

• Accurate Information: You must provide truthful, accurate, current, and complete information during the registration process and keep your account information up to date. Providing false or misleading information is a violation of these Terms.

• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials, including your password, and for all activities that occur under your account. You agree to notify Lamp immediately of any unauthorised use of your account or any other breach of security.

• No Credential Sharing: You must not share your account credentials with any third party, nor allow any other person to access or use your account. Each account is personal and non-transferable.

• Authentication: You may register using your email address, phone number, or supported third-party authentication providers (such as Apple Sign-In or Google Sign-In). You are responsible for the security of any authentication method you use.

Lamp reserves the right to suspend or terminate your account if any information provided during registration or thereafter is found to be inaccurate, false, outdated, or incomplete.

4. User Profile and Content

As part of the Service, you may create a profile and upload, post, or share content including photographs, text, and other materials ("User Content"). By doing so, you agree to the following:

• Responsibility: You are solely responsible for all User Content that you post, upload, or otherwise make available through the Service. You represent and warrant that you own or have the necessary rights, licences, and permissions to use and authorise Lamp to use your User Content as described in these Terms.

• Licence Grant: By posting User Content on the Service, you grant Lamp a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and providing the Service. This licence exists only for as long as your User Content remains on the Service and for a reasonable period thereafter to allow for backup and archival purposes.

• Content Removal: Lamp reserves the right, but has no obligation, to review, monitor, edit, or remove any User Content at its sole discretion, including content that Lamp determines violates these Terms, our Community Guidelines, or applicable law, or is otherwise objectionable.

• No Endorsement: Lamp does not endorse any User Content and expressly disclaims any liability in connection with User Content. You understand that by using the Service, you may be exposed to User Content that you may find offensive or objectionable.

5. Content Standards

You agree that you will not post, upload, or share any User Content that:

• Contains nudity, sexually explicit material, or pornography.

• Promotes or glorifies violence, self-harm, or harm to others.

• Constitutes harassment, bullying, intimidation, or threats directed at any individual or group.

• Contains hate speech, discrimination, or content that demeans individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic.

• Is illegal, promotes illegal activity, or violates the rights of any third party, including intellectual property rights.

• Contains spam, unsolicited advertising, promotional materials, or commercial solicitation of any kind.

• Involves impersonation of any person or entity, or falsely states or misrepresents your affiliation with a person or entity.

• Contains misleading or deceptive profile information, including the use of someone else's photographs or fabricated biographical details.

• Contains malware, viruses, or any other harmful or destructive code.

• Solicits personal information from minors or involves the exploitation of minors in any way.

• Promotes or facilitates prostitution, escort services, or human trafficking.

• Contains private or confidential information of any third party without their express consent.

Lamp reserves the right to determine, in its sole discretion, whether any User Content violates these Content Standards. Violations may result in content removal, account suspension, or permanent termination.

6. AI-Powered Features

Lamp incorporates artificial intelligence ("AI") technology, powered by third-party AI services, to enhance your experience. By using the Service, you acknowledge and agree to the following:

• AI-Assisted Matching: Lamp uses AI algorithms to suggest potential matches based on your profile information, preferences, and activity on the platform. These suggestions are generated algorithmically and do not constitute any guarantee of compatibility or successful outcomes.

• Compatibility Insights: The Service may provide AI-generated compatibility insights, personality assessments, or relationship guidance. These insights are for informational and entertainment purposes only and should not be relied upon as professional advice.

• Conversation Starters: Lamp may offer AI-generated conversation starters or prompts to help facilitate interactions between users. These suggestions are optional and provided as a convenience.

• Content Moderation: Lamp uses AI-based tools to assist in moderating User Content for compliance with these Terms and our Community Guidelines. Automated moderation may not be perfect, and Lamp reserves the right to supplement automated systems with human review.

• No Guarantee of Accuracy: AI-generated content, suggestions, and insights are not guaranteed to be accurate, complete, or reliable. Users should exercise their own independent judgment when making decisions based on AI-generated information.

• Data Processing: Your interactions with AI-powered features may be processed and analysed to improve the Service. Please refer to our Privacy Policy for details on how your data is collected, used, and protected.

Lamp does not make any representations or warranties regarding the outcomes of AI-powered features. You use these features at your own discretion and risk.

7. Matching and Interactions

Lamp facilitates introductions between users but does not guarantee any particular outcome. By using the Service, you acknowledge and agree to the following:

• No Identity Verification: Lamp does NOT verify the identity of its users. While we may require certain information during registration, we do not conduct identity verification checks, background checks, or criminal record screenings. You are solely responsible for taking appropriate precautions when interacting with other users.

• User Conduct: Lamp is not responsible for the conduct of any user, whether on or off the platform. You interact with other users at your own risk. Lamp expressly disclaims any liability for any harm, injury, or damages arising from interactions with other users.

• Safety Precautions: We strongly encourage all users to exercise caution when communicating with or meeting other users. Safety tips include: always meet in public places for initial meetings, tell a friend or family member about your plans, arrange your own transportation, do not share financial or sensitive personal information, and trust your instincts — if something feels wrong, remove yourself from the situation.

• No Matchmaking Guarantee: Lamp does not guarantee that you will find a compatible match, receive a certain number of matches, or achieve any particular outcome from using the Service.

• Offline Interactions: Lamp is not a party to any interactions, agreements, or relationships that may arise between users, whether online or offline. Any disputes between users must be resolved directly between the parties involved.

8. Content Moderation and Reporting

Lamp is committed to maintaining a safe and respectful community. To support this, we employ the following measures:

• Automated Moderation: Lamp uses AI-based automated systems to detect and flag content that may violate these Terms or our Community Guidelines. Automated systems may not catch every violation, and false positives may occur.

• Reporting: Users may report other users or content that they believe violates these Terms. Reports can be submitted through the in-app reporting feature. Lamp will review reports and take appropriate action, which may include warnings, content removal, temporary suspension, or permanent account termination.

• Blocking: Users may block other users at any time. Blocked users will no longer be able to view your profile or communicate with you through the Service.

• Account Actions: Lamp reserves the right to investigate and take appropriate action against any user who, in Lamp's sole discretion, violates these Terms. Actions may include, without limitation, issuing warnings, removing User Content, suspending accounts temporarily, or terminating accounts permanently.

• No Obligation to Monitor: While Lamp may monitor activity on the Service, we are under no obligation to do so. Lamp shall not be liable for any failure to detect, prevent, or address violations of these Terms.

• Appeals: Users whose accounts have been suspended or terminated may appeal the decision by contacting us at hello@lampdating.com. Appeals will be reviewed on a case-by-case basis, and Lamp's decision shall be final.

9. Privacy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, store, and protect your personal information when you use the Service.

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We encourage you to read the Privacy Policy carefully and to check it periodically for updates.

10. Subscriptions and Payments

Lamp offers both free and premium access to the Service:

• Free Tier (Plumbum): Lamp provides a free tier of service ("Plumbum") that allows users to access basic features of the platform at no cost. The features available under the free tier may change from time to time at Lamp's discretion.

• Premium Subscriptions: Lamp may offer premium subscription plans that provide access to additional features and enhanced functionality. Details of available plans, pricing, and features will be displayed within the App.

• Auto-Renewal: Premium subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. By subscribing, you authorise Lamp (via the applicable app store) to charge the applicable subscription fee at the start of each renewal period.

• Payment Processing: All payments for subscriptions purchased through the App are processed by Apple through the App Store. Lamp does not directly process or store your payment information.

• Cancellation: You may cancel your subscription at any time through your Apple ID account settings or the App Store. Cancellation will take effect at the end of the current billing period, and you will continue to have access to premium features until that date.

• Refunds: Refunds for subscriptions purchased through the App Store are subject to Apple's refund policy. Lamp does not directly process refunds for App Store purchases. To request a refund, please contact Apple Support.

• Price Changes: Lamp reserves the right to change subscription pricing at any time. Any price changes will be communicated to you in advance and will apply to the next billing cycle following the notice.

• Free Trials: Lamp may offer free trial periods for premium subscriptions. If you do not cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription at the applicable rate.

11. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, graphics, logos, trademarks, and all related intellectual property rights, are and shall remain the exclusive property of Codewise Ltd and its licensors.

• Platform IP: The Lamp name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Codewise Ltd or its affiliates. You must not use such marks without the prior written permission of Codewise Ltd.

• User Content Ownership: You retain all ownership rights in your User Content. However, by posting User Content on the Service, you grant Lamp the licence described in Section 4 of these Terms.

• Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any content available through the Service (other than your own User Content) without the prior written consent of Codewise Ltd.

• Feedback: If you provide Lamp with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you assign to Lamp all rights in such Feedback and agree that Lamp may use and fully exploit any such Feedback in any manner it deems appropriate, without any obligation or compensation to you.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LAMP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

• ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, MATCHES, COMPATIBILITY ASSESSMENTS, OR AI-GENERATED INSIGHTS PROVIDED THROUGH THE SERVICE.

• ANY WARRANTY REGARDING THE CONDUCT, IDENTITY, INTENTIONS, LEGITIMACY, OR VERACITY OF ANY USER.

• ANY WARRANTY THAT THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.

YOU ACKNOWLEDGE THAT LAMP DOES NOT SCREEN USERS, CONDUCT BACKGROUND CHECKS, OR VERIFY THE STATEMENTS OF ITS USERS. LAMP MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, CHARACTER, OR SUITABILITY OF ANY USER. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS SHALL AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• LIABILITY CAP: IN NO EVENT SHALL LAMP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING THE TOTAL AMOUNT YOU HAVE PAID TO LAMP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

• EXCLUSION OF DAMAGES: IN NO EVENT SHALL LAMP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

• USER INTERACTIONS: LAMP SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE, OR FROM ANY INTERACTIONS BETWEEN USERS.

• THIRD-PARTY CONTENT: LAMP SHALL NOT BE LIABLE FOR ANY CONTENT, PRODUCTS, OR SERVICES PROVIDED BY THIRD PARTIES, INCLUDING AI-GENERATED CONTENT POWERED BY THIRD-PARTY AI SERVICES.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER LAMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Lamp, its parent company Codewise Ltd, and their respective directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service.

• Your User Content or any content you post, upload, or share through the Service.

• Your violation of these Terms or any applicable law or regulation.

• Your violation of any rights of any third party, including intellectual property, privacy, or publicity rights.

• Your interactions with other users, whether online or offline.

• Any misrepresentation made by you.

This indemnification obligation shall survive the termination of your account and these Terms.

15. Termination

These Terms remain in effect until terminated by either you or Lamp.

• Termination by You: You may terminate your account at any time by deleting your account through the App settings or by contacting us at hello@lampdating.com. Upon deletion, your profile and User Content will be removed from the Service, subject to our data retention practices as described in our Privacy Policy.

• Termination by Lamp: Lamp may suspend or terminate your account at any time, with or without cause, and with or without notice, if Lamp determines, in its sole discretion, that you have violated these Terms, engaged in conduct that Lamp deems inappropriate, or for any other reason Lamp considers necessary to protect the safety and integrity of the Service and its users.

• Effect of Termination: Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitation of liability, and indemnification.

• No Refund on Termination: If your account is terminated by Lamp due to a violation of these Terms, you will not be entitled to any refund of subscription fees previously paid.

16. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws based on your country of residence:

• United Kingdom: If you reside in the United Kingdom, these Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to your rights as a consumer under applicable mandatory local laws.

• United States: If you reside in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Subject to Section 17 (Dispute Resolution), any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.

• Other Jurisdictions: If you reside outside the United Kingdom and the United States, these Terms shall be governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory provisions of your local law require otherwise.

17. Dispute Resolution

Lamp and you agree to attempt to resolve any disputes arising out of or relating to these Terms or the Service through the following process:

• Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact Lamp at hello@lampdating.com to attempt to resolve the dispute informally. Lamp will make reasonable efforts to resolve the dispute through good-faith negotiations within thirty (30) days of receiving your notice.

• Binding Arbitration (US Users): If you reside in the United States and the dispute cannot be resolved informally within thirty (30) days, you and Lamp agree that the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and shall take place in Delaware or, at your election, may be conducted remotely. The arbitrator's decision shall be final and binding. YOU AND LAMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

• Arbitration Opt-Out (US Users): You have the right to opt out of binding arbitration within thirty (30) days of creating your account by sending written notice to hello@lampdating.com with the subject line "Arbitration Opt-Out". Your notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts specified in Section 16.

• UK Users: If you reside in the United Kingdom, you retain the right to bring claims in the courts of England and Wales. Nothing in this Section shall affect your statutory rights as a consumer, including your right to bring a claim in the courts of the country in which you are domiciled.

• Small Claims: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the scope of such court's jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

The failure of Lamp to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

19. Changes to Terms

Lamp reserves the right to modify, amend, or update these Terms at any time, at its sole discretion. When we make material changes to these Terms, we will notify you by:

• Posting the updated Terms on our website and within the App.

• Updating the "Last updated" date at the top of these Terms.

• Sending you a notification through the App or to your registered email address for material changes.

Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

We encourage you to review these Terms periodically to stay informed of any updates.
